By accessing or using Audioviz ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use our service. By using Audioviz, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Audioviz provides an AI-powered music video generation platform that enables users to:

• Upload audio files for analysis
• Generate synchronized music videos using AI templates
• Preview, edit, and export generated videos
• Access various video generation features based on subscription tier

We reserve the right to modify, suspend, or discontinue the service at any time, with or without notice. We are not liable for any such modifications, suspension, or discontinuation.

3. Account Registration

To use Audioviz, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree NOT to use Audioviz to:

• Generate content that infringes or violates any third party's intellectual property rights
• Create content depicting real individuals without their consent
• Upload music you do not have the right to use or synchronize
• Generate violent, sexually explicit, hate speech, or illegal content
• Use automated systems or bots without our written permission
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the service
• Remove or alter any proprietary notices
• Use outputs from our service to train competing AI models or services

5. Intellectual Property

Your Content: You retain all rights to the audio files you upload and the videos you create using Audioviz. You represent that you have all necessary rights to upload and use your audio content.

Our Materials: The Audioviz platform, including but not limited to our templates, designs, logos, and proprietary technology, are owned by Audioviz or its licensors and are protected by intellectual property laws.

Generated Videos: You own all videos you generate with Audioviz. You may use them for personal and commercial purposes without attribution.

6. Subscription and Payment

Payments are processed through Waffo Pancake, our Merchant of Record and PCI-DSS compliant payment processor. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide accurate billing and payment information
• Automatic renewal of your subscription unless canceled before the renewal date
• Price changes with 30 days' notice for existing subscribers

Subscription fees are non-refundable except as specified in our Refund Policy.

7. Cancellation and Termination

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You retain access to your generated videos until 30 days after cancellation
• After 30 days, your videos may be deleted
• We may terminate accounts that violate these Terms

8. Disclaimer of Warranties

AUDIOVIZ IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The service will be uninterrupted, secure, or error-free
• Generated videos will meet your specific requirements
• Any errors in the service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOVIZ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of generated content
• Total liability exceeding the amount you paid for the service in the past 12 months

10. Indemnification

You agree to indemnify, defend, and hold harmless Audioviz and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the Audioviz service
• Your uploaded content or generated videos
• Any claim that your content infringes third-party rights

11. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Emailing notice to registered users for significant changes

Your continued use of Audioviz after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
